These general terms and conditions apply to all quotes, agreements,
deliveries, and rental transactions of JustAir BV, unless otherwise agreed in writing. Deviations are only
valid if explicitly confirmed in writing by JustAir BV. The customer or renter accepts these terms and conditions upon
placing an order or entering into a rental agreement. The customer’s or renter’s general terms and conditions
are explicitly excluded, unless JustAir BV accepts them in writing.
All quotes from JustAir BV are non-binding and valid for
30 days, unless otherwise stated. An agreement is not concluded until written confirmation is provided by JustAir BV or
, or until the delivery or rental is actually carried out. JustAir BV reserves the right to refuse orders or
rental requests without providing a reason. Changes and additions to agreements are only
valid if agreed upon in writing.
All prices are exclusive of VAT, taxes, and other costs such as shipping or installation,
unless otherwise stated. Invoices must be paid in full within 30 days of the invoice date, unless otherwise agreed in writing
. In the event of late payment, interest of 1% per month and a fixed compensation
of 10% of the outstanding amount will apply, with a minimum of €100. JustAir BV reserves the right to suspend deliveries
or rentals until full payment has been received.
Delivery times are approximate and not binding, unless expressly agreed in writing
. JustAir BV is not liable for delays caused by external factors such as transportation problems or
issues with suppliers. The risk associated with the goods or the rented items passes to the customer or renter upon delivery.
Shipping costs are the responsibility of the customer, unless otherwise agreed.
JustAir BV guarantees that the goods delivered and equipment rented comply with
the agreed-upon specifications and standards. Complaints regarding visible defects must be reported in writing to
within 5 business days of delivery; hidden defects must be reported within 3 months. If a complaint is valid, JustAir BV will, at its discretion (
), repair or replace the goods or rented materials, or issue a credit memo.
JustAir BV is liable only for direct damages caused by gross negligence or
willful misconduct, and such liability is limited to the invoice amount for the relevant delivery or rental period. JustAir BV is not liable for
indirect damages such as loss of profits, loss of production, or consequential damages. The customer or renter indemnifies JustAir BV against all
claims by third parties relating to the delivered goods or the rented equipment.
JustAir BV is not liable for damages resulting from force majeure, including, but not
limited to, strikes, pandemics, natural disasters, transportation restrictions, technical malfunctions, and
government measures. In such cases, JustAir BV has the right to suspend or
terminate the agreement without paying compensation to the customer or renter.
The delivered goods remain the property of JustAir BV until full payment has been
received. The customer may not resell, pledge, or transfer these goods until ownership has been transferred
. Leased goods remain the property of JustAir BV at all times and may not be transferred to
third parties without the prior written consent of JustAir BV.
All agreements with JustAir BV are governed by Belgian law (
). Disputes shall be settled exclusively by the competent courts of Ghent. JustAir BV and the
customer or renter will first attempt to resolve disputes amicably before taking legal action
. Article 10: Amendments JustAir BV reserves the right to amend these general terms and conditions.
Amended terms and conditions will take effect for new orders or rental agreements and will be communicated to the customer
or tenant in a timely manner.
If any provision of these general terms and conditions is declared null and void or invalid, the remaining provisions of
shall remain in full force and effect. JustAir BV reserves the right to replace the null and void or invalid provision at
with a valid provision that has as similar a meaning as possible.
